1. Acceptance of Terms

By accessing or using Weyoto Assist (“the Service”), operated by Weyoto Labs Ventures (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service.

We may update these Terms from time to time. Material changes will be communicated by updating the “Last updated” date at the top of this page. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

2. Description of Service

Weyoto Assist is an AI-powered customer inquiry assistant platform that enables businesses to:

Upload business documents (PDF, DOCX, TXT) or manually enter business details.
Generate a unique public assistant URL for customers to ask questions.
Receive AI-generated responses to customer inquiries based on their uploaded business knowledge.
Capture customer email addresses as leads when inquiries cannot be fully answered.
Access an internal AI copilot for business planning and strategy.
Monitor usage analytics and inquiry volume.

The Service is hosted at assist.weyoto.com and is provided on a subscription basis with Free and Pro plan tiers.

3. Account Registration

3.1 Eligibility

You must be at least 16 years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this requirement.

3.2 Account Creation

Accounts are created via passwordless email authentication. You must provide a valid email address and verify ownership by entering the code sent to that address. You are responsible for maintaining the security of your email account and for all activity that occurs under your Weyoto Assist account.

3.3 Account Responsibility

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for all activities that occur under your account. Notify us immediately at hello@weyoto.com if you suspect any unauthorized use of your account.

4. Plans and Billing

4.1 Free Plan

We offer a Free plan with limited monthly inquiries. Features and limits are described on our pricing page. We reserve the right to modify Free plan limits at any time with reasonable notice.

4.2 Pro Plan

The Pro plan is billed at ₦1,500 per month (approximately $1 USD) via Paystack. By subscribing to the Pro plan, you authorize us to charge your provided payment method on a recurring monthly basis until you cancel.

4.3 Cancellation

You may cancel your Pro subscription at any time from your dashboard billing settings. Cancellation takes effect at the end of your current billing period. You will retain Pro features until that date. No partial refunds are provided for unused portions of the billing period.

4.4 Price Changes

We reserve the right to change pricing for our plans. We will provide at least 30 days' notice before any price change takes effect. Your continued use of the Service after a price change constitutes acceptance of the new price.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations, including those of Nigeria where we operate.
Upload or submit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
Upload documents containing malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to our systems.
Attempt to probe, scan, or test the vulnerability of our systems or network without proper authorization.
Use the Service to send spam, unsolicited messages, or engage in any form of automated abuse.
Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
Interfere with or disrupt the Service, servers, or networks connected to the Service.
Use the Service to create a competing product or service.
Resell, sublicense, or redistribute the Service or any component thereof without our explicit written consent.

6. User Content

6.1 Ownership

You retain all ownership rights to the documents, business information, and other content you upload or submit to the Service (“User Content”). We do not claim ownership of your User Content.

6.2 License to Us

By uploading or submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display your User Content solely for the purpose of providing and improving the Service. This includes transmitting your content to OpenAI's API for generating AI responses and embedding your documents in our vector database for retrieval.

6.3 Your Warranties

You represent and warrant that you own or have the necessary rights to all User Content you upload, and that your content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.

6.4 Monitoring and Removal

We reserve the right, but have no obligation, to monitor User Content. We may remove any User Content that violates these Terms or is otherwise objectionable, at our sole discretion and without prior notice.

7. AI-Generated Content

7.1 Nature of AI Responses

Our Service uses OpenAI's GPT models to generate responses to customer inquiries. You acknowledge that AI-generated responses:

May contain inaccuracies, errors, or outdated information.
Are based on probabilistic models and may not always reflect the most appropriate or accurate answer.
Should not be solely relied upon for critical decisions.

7.2 No Liability for AI Output

We make no representations or warranties regarding the accuracy, completeness, or reliability of AI-generated content. You assume full responsibility for any decisions or actions taken based on AI-generated responses from the Service.

7.3 Customer Communications

You are responsible for ensuring that AI-generated responses to your customers comply with applicable consumer protection laws and regulations. You should monitor your assistant's responses periodically to ensure quality and accuracy.

8. Intellectual Property

8.1 Our IP

The Service, including its original content, features, functionality, design, code, and trademarks, is owned by Weyoto Labs Ventures and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service (“Feedback”), you agree that we may use such Feedback without restriction and without compensation to you.

9. Third-Party Services

The Service integrates with third-party services including but not limited to:

OpenAI API — for AI text generation and document embeddings
Resend — for email delivery
Paystack — for payment processing
PostHog — for product analytics

Your use of these services through our platform is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party services.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance or experience unscheduled outages. We reserve the right to suspend or discontinue the Service, or any part thereof, at any time with or without notice.

We are not liable for any damage, loss, or inconvenience caused by Service unavailability, including missed customer inquiries or lost leads.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEYOTO LABS VENTURES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED CONTENT.

13. Indemnification

You agree to indemnify, defend, and hold harmless Weyoto Labs Ventures, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

Your use of the Service.
Your User Content.
Your violation of these Terms.
Your violation of any third-party rights, including intellectual property or privacy rights.
AI-generated responses communicated to your customers.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms or if we reasonably believe your continued use would cause harm to us, other users, or third parties.

You may terminate your account at any time by deleting it from your dashboard settings. Upon termination, your right to use the Service will cease immediately. Your User Content will be deleted in accordance with our Privacy Policy.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 8, 11, 12, 13, and 15.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Weyoto Labs Ventures regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

16.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets.
